Terms of Service

CHAUFFEUR (“Chauffeur,” “we,” “us,” or “our”) operates the Chauffeur platform — an AI-powered WhatsApp automation agent for beauty businesses — accessible at chauffeurapp.io (the “Service”).

These Terms of Service (“Terms”) govern the subscription, access, and use of the Service by you (“you,” “User,” or “Subscriber”). By creating an account and/or subscribing to any plan offered by Chauffeur, even on a trial basis, you automatically agree to all rules, clauses, and conditions set forth herein.

If you do not agree with any provision of these Terms, you must not use the Service. By accepting these Terms, you declare that you have read, understood all your rights and obligations, and agree to comply with all provisions herein.

These Terms are supplemented by our Privacy Policy, which is incorporated herein by reference and governs the collection, use, and protection of your personal data.

Chauffeur reserves the right to amend these Terms at any time. Whenever changes are made, you will be notified when accessing the Service or via the email registered with Chauffeur. Continued use of the Service after such notification constitutes acceptance of the modified Terms.

1. The Service

1.1. These Terms govern the subscription, access, and use of the services offered and made available by Chauffeur, including but not limited to:

(a) AI-powered WhatsApp conversation automation;

(b) Automated appointment booking and calendar management;

(c) Customer relationship management (CRM) features;

(d) Analytics dashboard with business performance insights;

(e) Multi-language customer support automation; and

(f) Any other services or features that may be developed and offered by Chauffeur in the future (collectively, the “Service”).

1.2. The Service is provided on a Software-as-a-Service (SaaS) basis and is accessible via the internet. Chauffeur provides support to Users for requests and inquiries regarding the Service at support@chauffeurapp.io.

1.3. Chauffeur may make additional features or services available for testing purposes. Such features are not guaranteed, may be discontinued at any time at Chauffeur's sole discretion, and shall not be incorporated into the Service on a permanent basis unless explicitly confirmed.

2. Account Registration & Eligibility

2.1. To use the Service, you must:

(a) Be at least 18 (eighteen) years of age or the age of legal majority in your jurisdiction;

(b) Have the legal capacity and authority to enter into a binding agreement;

(c) Provide accurate, complete, and current information during registration; and

(d) Be a business entity or individual operating a legitimate business.

2.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@chauffeurapp.io if you suspect any unauthorized use of your account.

2.3. Chauffeur is not responsible for verifying the accuracy of the information provided by you during registration. Any liability regarding the truthfulness, accuracy, and authenticity of the registered information shall be exclusively yours.

3. Subscription & Billing

3.1. Plans & Pricing. The Service is offered through subscription plans (Starter, Professional, and Enterprise), with monthly or annual billing cycles. Prices are displayed in your local currency (BRL, EUR, or USD) based on automatic geographic detection. Current pricing is available on our Pricing page.

3.2. Payment Processing. All payments are processed securely by Stripe, Inc., a PCI-DSS Level 1 certified payment processor. By subscribing, you agree to Stripe's Terms of Service. Chauffeur does not access, process, or store your credit card information at any time.

3.3. Auto-Renewal. Subscriptions renew automatically at the end of each billing cycle unless you cancel before the renewal date.

3.4. Cancellation. You may cancel your subscription at any time through your account dashboard or by contacting support. Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for unused portions of a billing cycle, unless required by applicable law.

3.5. Price Changes. Chauffeur reserves the right to modify pricing with at least 30 (thirty) days' prior written notice via email. If you do not agree to the new pricing, you may cancel your subscription before the changes take effect.

4. User Responsibilities & Acceptable Use

4.1. You agree to use the Service in compliance with all applicable laws and regulations. You shall not:

(a) Use the Service for any unlawful, fraudulent, or harmful purpose;

(b) Send unsolicited bulk messages (spam) through the WhatsApp integration;

(c) Violate WhatsApp's Terms of Service or Business Policy;

(d) Attempt to reverse-engineer, decompile, or disassemble any part of the Service;

(e) Interfere with or disrupt the integrity or performance of the Service;

(f) Share your account credentials with third parties;

(g) Collect or store personal data of third parties without their explicit consent and a lawful basis under applicable data protection regulations (LGPD/GDPR); or

(h) Upload or transmit content that is defamatory, obscene, threatening, or otherwise objectionable.

4.2. Data Controller Responsibility. When using Chauffeur to interact with your end-customers via WhatsApp, you act as the data controller for the personal data of those end-customers, as defined by applicable data protection legislation. You are solely responsible for: obtaining appropriate consent; providing privacy notices to your end-customers; ensuring a lawful basis for processing; and complying with all applicable data protection laws (including LGPD and GDPR) with respect to your end-customers' data.

5. Intellectual Property

5.1. Our Property. The Service, including its software, design, logos, trademarks, AI models, documentation, and all related intellectual property, is owned by Chauffeur and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for its intended purpose during the term of your subscription.

5.2. Your Content. You retain ownership of all content and data you submit to the Service (including customer data, business information, and configurations). By using the Service, you grant us a limited license to process this content solely for the purpose of providing, operating, and improving the Service.

6. Data Processing & Privacy

6.1. Your use of the Service is also governed by our Privacy Policy, which details what personal data we collect, how we process it, your rights as a data subject, the third-party processors involved, and the data retention periods applicable to each category of data.

6.2. By using the Service, you acknowledge and agree to the data processing practices described in our Privacy Policy, including the collection of your email address, name, billing data (via Stripe), IP address (for geographic region detection), and WhatsApp interaction data.

7. Third-Party Services

7.1. The Service integrates with and relies on third-party platforms. By using the Service, you acknowledge and agree to the following:

7.2. Chauffeur is not responsible for the availability, security, content, or practices of third-party services. Your use of these services is subject to their respective terms and privacy policies, over which Chauffeur has no control.

8. Service Availability

8.1. Chauffeur makes commercially reasonable efforts to maintain the Service available 24 hours a day, 7 days a week. However, we do not guarantee uninterrupted or error-free operation.

8.2. The Service may be temporarily unavailable due to:

(a) Scheduled maintenance (with reasonable advance notice when feasible);

(b) Emergency security patches or critical updates;

(c) Third-party service disruptions (WhatsApp, Stripe, hosting provider); or

(d) Force majeure events (natural disasters, cyberattacks, government actions).

8.3. Chauffeur will make commercially reasonable efforts to resolve any outages promptly and keep affected users informed through available communication channels.

9. Limitation of Liability

9.1. To the maximum extent permitted by applicable law:

(a) Chauffeur shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill;

(b) Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total amount paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim; and

(c) Chauffeur is not liable for any actions, errors, or omissions of the AI agent, including incorrect responses, missed appointments, or miscommunications with your customers.

9.2. Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

10. Indemnification

10.1. You agree to indemnify, defend, and hold harmless Chauffeur and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from or related to:

(a) Your use or misuse of the Service;

(b) Your violation of these Terms or any applicable law;

(c) Your violation of any third party's rights, including your end-customers' privacy rights; or

(d) Content or data you submit, transmit, or make available through the Service.

11. Termination

11.1. Termination by You. You may terminate your account at any time by canceling your subscription and contacting support@chauffeurapp.io.

11.2. Termination by Chauffeur. We may suspend or terminate your access to the Service immediately, without prior notice, if:

(a) You breach these Terms or any applicable law;

(b) We detect fraudulent, abusive, or harmful activity on your account;

(c) Your account has been inactive for more than 12 (twelve) consecutive months; or

(d) We are required to do so by law, regulation, or court order.

11.3. Effect of Termination. Upon termination:

(a) Your right to use the Service will cease immediately;

(b) We will retain your data for 30 (thirty) days after termination, after which it will be permanently and irreversibly deleted, unless retention is required by law;

(c) You may request a complete data export during the 30-day post-termination period by contacting support@chauffeurapp.io.

12. Governing Law & Dispute Resolution

12.1. These Terms shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, without regard to conflict-of-law principles.

12.2. Any disputes arising out of or related to these Terms or the Service shall be resolved as follows:

(a) Informal Resolution: The parties shall first attempt to resolve the dispute through good-faith negotiation for a period of 30 (thirty) days;

(b) Mediation/Arbitration: If informal resolution fails, the dispute shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration institution; and

(c) Jurisdiction: For matters that cannot be arbitrated, the courts of São Paulo, SP, Brazil, shall have exclusive jurisdiction.

12.3. For users located in the European Union, nothing in these Terms shall affect your statutory rights under EU consumer protection laws, including GDPR. EU residents may also refer disputes to their local consumer protection authority or the European Commission's Online Dispute Resolution platform.

13. General Provisions

13.1. Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Chauffeur regarding the use of the Service, superseding any prior agreements or understandings.

13.2. Severability. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

13.3. Waiver. The failure of Chauffeur to enforce any provision of these Terms shall not constitute a waiver of such provision or the right to enforce it subsequently.

13.4. Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Chauffeur may assign its rights without restriction.

13.5. Force Majeure. Chauffeur shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, cyberattacks, government actions, or third-party service disruptions.
